A Resolution authorizing the City Manager to execute a Supplement to Agreements by and between the City of Battle Creek, Battle Creek Tax Increment Financing Authority, Battle Creek Unlimited, and BC/CAL/KAL Inland Port Development Corporation.

BATTLE CREEK, MICHIGAN - 9/1/2015

Resolved by the Commission of the City of Battle Creek:

 

That the parties have a long relationship and all, or several of, the parties, are subject to various agreements, including without limitation, that certain Management Agreement among all the parties dated April 18, 1991, and approved by City Resolution dated April 23, 1991; that certain Agreement among all parties (except BCTIFA) dated April 14, 1983; and that certain Agreement among all the parties (except City) dated May 25, 1982.

 

BCU and BCTIFA also executed that certain Reaffirmation of Previous Contractual Agreements and Long-Term Contract for Future Services between BCTIFA and BCU dated June 14, 2012. BCTIFA and the City also executed that certain Recognition of BCTIFA Obligations to the City of Battle Creek as of June 1, 2012.

 

The parties desire to supplement the Agreements to provide greater transparency, information, and involvement by the City in accordance with the terms and conditions contained in the Supplement to Agreements.

 

The City Manager is authorized to execute a Supplement to Agreements by and between the City of Battle Creek, Battle Creek Tax Increment Financing Authority, Battle Creek Unlimited, and BC/CAL/KAL Inland Port Development Corporation

BUDGETARY CONSIDERATIONS

HISTORY, BACKGROUND and  DISCUSSION

The City Commission desired to have more transparency, opportunities for regular reporting and staff involvement defined in an agreement with BCU, BCTIFA, and BC/CAL/KAL. City Staff, BCU Staff, and BCTIFA Board members have been working diligently over the past several months to honor previous agreements and incorporate new language in accordance with City desires. This agreement addresses the primary desires of the City to include greater transparency through Financial Reporting, Activities Reporting, Fund Balance Policies, and certain Amendments to BCU Bylaws.

 

This Agreement has been approved by the BCTIFA Board, the BC/CAL/KAL Board and the BCU Board.
